Terms of Service

1. Acceptance of Terms
By accessing or using the Kovalent AI platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Description of Service
Kovalent AI provides an infrastructure orchestration platform for deploying, scaling, and managing private AI nodes and large language models. We operate the control plane that provisions and coordinates your nodes; the nodes themselves, and the data processed on them, run within your own private mesh. The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time, and will provide reasonable notice of material changes where practicable.
3. Eligibility and Account Registration
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.
4. Acceptable Use Policy
The Service grants you significant computation capabilities within an isolated network. You agree not to use the Service to:
- Conduct or facilitate illegal activity, distribute malware or spam, or generate content that is unlawful or infringes the rights of others.
- Gain or attempt to gain unauthorized access to the Service, other customers' environments, or the underlying infrastructure, or to circumvent the isolation boundaries between tenants.
- Probe, scan, reverse engineer, or interfere with the control plane, its APIs, or the private mesh, except as expressly permitted.
- Run workloads unrelated to your legitimate use of the Service. Cryptocurrency mining is prohibited and may result in immediate suspension.
- Exceed or attempt to circumvent the resource limits or quotas of your plan.
- Conduct or facilitate illegal activity, distribute malware or spam, or generate content that is unlawful or infringes the rights of others.
- Gain or attempt to gain unauthorized access to the Service, other customers' environments, or the underlying infrastructure, or to circumvent the isolation boundaries between tenants.
- Probe, scan, reverse engineer, or interfere with the control plane, its APIs, or the private mesh, except as expressly permitted.
- Run workloads unrelated to your legitimate use of the Service. Cryptocurrency mining is prohibited and may result in immediate suspension.

5. Customer Responsibility for Content
Because Kovalent operates under a tenant-isolation model and does not have visibility into the contents of the data processed within your private mesh, you are solely responsible for all data, files, prompts, and content processed by your nodes, and for ensuring you hold the rights and permissions necessary to process it. We act solely as the infrastructure orchestration provider and do not monitor or control the content of your workloads.
6. Fees, Billing, and Plans
Paid plans are billed in advance on a recurring basis through our payment processor. By selecting a paid plan, you authorize us to charge the applicable fees to your payment method until you cancel. Fees are non-refundable except where required by law or expressly stated. We may change plan pricing on a prospective basis with reasonable advance notice. You are responsible for any taxes associated with your use of the Service.
7. Intellectual Property
All graphics, logos, designs, documentation, and source code of the Kovalent AI control plane and dashboard are the property of Kovalent AI or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use Kovalent's trademarks or branding without prior written permission. You retain full ownership of the data, prompts, models, and content you process through your nodes, and grant us only the limited rights necessary to operate and provide the Service to you.
8. Service Availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or factors outside our reasonable control may affect availability. Any service-level commitments, if offered, are set out in a separate written agreement.
9. Warranty Disclaimer
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, or that outputs generated by the models you run will be accurate, reliable, or fit for any particular purpose.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Kovalent AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, arising out of or related to your access to or use of, or inability to use, the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Kovalent AI and its officers, employees, and agents from any claims, damages, liabilities, and reasonable expenses arising out of your data or content, your use of the Service, or your violation of these Terms or applicable law.
12. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other customers. On termination, your right to use the Service ceases; where practicable, we will make your data available for export for a limited period, after which it may be deleted in the ordinary course. Provisions that by their nature should survive termination will survive.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Kovalent AI is established, without regard to its conflict of law provisions. You agree that the courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law provides otherwise.
